1. Introduction
Welcome to SpikyPoker. These Terms of Service ("Terms") govern your access to and use of the SpikyPoker platform ("Service"), operated by MB Blipas ("we", "us", "our"), registered at Minties g. 16, LT-53365 Kauno r., registration number 306705803. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Service Description
SpikyPoker is a web-based poker tournament management platform. The Service provides tools for organizing and running poker tournaments, including tournament timers, player management, blind level structures, prize calculations, and multi-device display synchronization. SpikyPoker is a management tool only — it does not facilitate gambling, real-money wagering, or any form of online betting.
3. Account Registration
To use the Service, you must create an account with a valid email address. You must be at least 18 years old. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription & Billing
SpikyPoker offers a free trial (one tournament), pay-per-tournament credit packs, and an Unlimited subscription. Credit packs are one-time purchases — each credit allows you to create one tournament. Credits never expire. The Unlimited subscription is billed monthly or yearly on a recurring basis. Prices are displayed in EUR and include applicable taxes. Payment is processed securely by Stripe. By subscribing to the Unlimited plan, you authorize us to charge your payment method on a recurring basis until you cancel. We will notify you at least 30 days in advance of any pricing changes. Pricing changes apply to the next billing cycle after the notice period.
5. Right of Withdrawal (EU Consumers)
Under the EU Consumer Rights Directive, you have a 14-day right of withdrawal from the date of purchase. However, by purchasing credits or subscribing and accessing the Service immediately, you acknowledge and agree that the digital content delivery begins right away, and you expressly consent to waive your 14-day withdrawal right once credits have been used or the Service has been accessed. If you have not used any credits or accessed paid features, you may exercise your withdrawal right by contacting us within 14 days of purchase.
6. Refunds
For Unlimited subscriptions: if you cancel within the first 14 days and have not accessed paid features, you are entitled to a full refund. After the 14-day period, subscriptions are non-refundable for the current billing period but will not renew. For credit packs: credits are non-refundable once purchased, as they represent pre-paid access to tournament creation. Unused credits remain on your account indefinitely. In exceptional circumstances (billing errors, service outages), please contact us and we will evaluate refund requests on a case-by-case basis. Refunds are processed back to the original payment method and may take 5-10 business days to appear.
7. Cancellation & Termination
You may cancel your Unlimited subscription at any time through the Manage Subscription option in your account settings. Upon cancellation, your subscription features remain active until the end of the current billing period, after which your account reverts to credit-based access. Any remaining credits stay on your account. Your data (tournaments, players, presets) is retained for 30 days after downgrade, during which you can export it. We reserve the right to terminate your account for violation of these Terms, with reasonable notice where possible.
8. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose or to facilitate illegal gambling; (b) attempt to gain unauthorized access to the Service or its infrastructure; (c) use automated tools, bots, or scrapers to access the Service; (d) upload malicious content, viruses, or harmful code; (e) impersonate another person or entity; (f) interfere with or disrupt the Service or its servers; (g) sublicense, resell, or redistribute the Service. Violation of these terms may result in immediate account suspension or termination.
9. Intellectual Property
The SpikyPoker platform, including its design, code, branding, and documentation, is owned by MB Blipas and protected by applicable intellectual property laws. You retain full ownership of the data you create within the Service (tournament configurations, player lists, preset structures). We claim no ownership over your content. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.
10. Data Ownership & Portability
Your data belongs to you. You may request an export of your data in a machine-readable format (JSON or CSV) at any time by contacting us. In accordance with the EU Data Act, you may terminate your subscription with 2 months' notice, during which we will provide a data export within 30 days. We do not charge fees for data export or account switching.
11. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability to you for any claims arising from or related to the Service shall not exceed the total fees you have paid to us in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Nothing in these Terms excludes or limits our liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure. We make reasonable efforts to maintain uptime and security but cannot guarantee continuous availability.
13. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of Lithuania. If you are an EU consumer, you retain the right to bring proceedings in the courts of your country of residence and to benefit from mandatory consumer protection provisions of your local law.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or through a notice in the Service. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may cancel your account before they take effect. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
